At Digitus Group, corporate governance is the foundation of our long-term success. Since our establishment in 1999 and listing on Boursa Kuwait in 2007, we have remained committed to the highest standards of integrity, transparency, and accountability. Our governance framework ensures full compliance with Law No. (7) of 2010 on the Establishment of the Capital Markets Authority (CMA), its Executive Bylaws, and the Corporate Governance Rules and Instructions issued by the CMA.
Governance at Digitus goes beyond regulatory obligations. It safeguards shareholder rights, protects stakeholder interests, and enables a sustainable business model that creates long-term value.

Governance Framework

Digitus has established a governance framework built on the following pillars:

Board of Directors

Provides strategic direction, oversight, and long-term sustainability of the company. Members are appointed based on professional expertise, independence, and integrity. Duties include approving strategy, supervising risk management and controls, and ensuring compliance with laws and ethical standards.

Specialized Board Committees

To enhance oversight and independence, the Board has delegated responsibilities to:

1.Audit Committee

Oversees financial reporting integrity, external and internal audit effectiveness, and internal control systems.

2.Risk Committee

Monitors enterprise risk management, evaluates major business risks, and ensures mitigation measures.

3.Nomination & Remuneration Committee

Manages Board composition, succession planning, and executive remuneration policies, ensuring fairness and alignment with company performance.

4.Internal Control, Audit & Risk Management

A comprehensive system of controls covering financial, operational, and compliance risks. The Internal Audit Department reports directly to the Audit Committee. A formal Risk Management Policy identifies, assesses, and mitigates risks at both strategic and operational levels.

5.Compliance & Transparency

Digitus maintains strict adherence to CMA regulations and Boursa Kuwait requirements. A dedicated Compliance Function ensures adherence to laws and policies. A Disclosure & Transparency Policy guarantees timely, accurate, and comprehensive reporting to investors and regulators.

6.Shareholder Rights & Stakeholder Engagement

Equal treatment and protection of shareholder rights, including voting, dividends, and participation in general assemblies. A Shareholders’ Rights Manual guides shareholder interactions. Stakeholders — employees, customers, regulators, partners — are engaged through structured communication channels.

7.Ethics, Conduct & Accountability

A Code of Conduct and Business Ethics governs directors, management, and employees. Clear policies cover conflict of interest, related-party transactions, insider trading, and whistleblowing. Training programs reinforce ethical practices across the organization.

8.Continuous Development & Sustainability

Governance practices are reviewed and enhanced regularly in line with evolving regulations and global best practices. The Board and Committees conduct annual self-assessments, while sustainability and CSR policies ensure Digitus creates positive impact on society, environment, and markets.

Board of Directors

The Board of Directors consists of five highly qualified members with expertise spanning economics, information technology, telecommunications, investment, and finance — both locally and internationally.
Composition: 3 non-executive directors, 1 executive director, 1 independent director.
Election: Members are elected by shareholders at the Ordinary General Assembly for a term of three years, in line with CMA regulations and the company’s Articles of Association.
The Board sets strategic objectives, approves action plans, and ensures long-term value creation while protecting shareholder rights.
